Common Equity Securities definition

Common Equity Securities means shares of any class of common stock, or any securities convertible into or exchangeable or exercisable for shares of any class of common stock of the Company.

Common Equity Securities means any securities (i) that are common stock or participate without limitation in earnings and dividends in parity with common stock and (ii) that are Marketable Securities. For greater certainty, the term "Common Equity Securities" does not mean warrants, options or other rights to purchase, or securities exchangeable or convertible into, Common Equity Securities.

Common Equity Securities means any class or series of Common Shares of the Company.

Examples of Common Equity Securities in a sentence

• It is understood that the information to be furnished by a Children Trust Party to the Company for use in the preparation of any such document shall be limited only to information regarding such Children Trust Party, the ownership of such Children Trust Party’s Common Equity Securities, such Children Trust Party’s intended method or methods of distribution and any other information required by law.

• It is understood that the information to be furnished by a Xxxxx Family Party to the Company for use in the preparation of any such document shall be limited only to information regarding such Xxxxx Family Party, the ownership of such Xxxxx Family Party’s Common Equity Securities, such Xxxxx Family Party’s intended method or methods of distribution and any other information required by law.

• The Company shall use its reasonable best efforts to cause the managing underwriter or underwriters of a proposed underwritten offering to permit such Xxxxx Family Holders to be included in the registration for such offering and to include such Shares in such offering on the same terms and conditions as the Common Equity Securities included in such offering.

• The Company shall use its reasonable best efforts to cause the managing underwriter or underwriters of a proposed underwritten offering to permit such Children Trust Holders to be included in the registration for such offering and to include such Shares in such offering on the same terms and conditions as the Common Equity Securities included in such offering.

• To the extent that this Warrant becomes exercisable for Exercise Shares other than the Common Equity Securities, each of the Trust and the Company agrees to grant, or cause to be granted, to the Holder hereof the same registration rights with respect to such Exercise Shares as are currently granted to the Holder in respect of the Common Equity Securities pursuant to the Registration Rights Agreement.

More Definitions of Common Equity Securities

Common Equity Securities means the securities of a Person which are entitled to share without limitation in a distribution of the assets of such Person upon any liquidation, dissolution or winding-up of such Person.

Common Equity Securities means Common Stock and Partnership Units which may be redeemed for Common Stock pursuant to the terms of the Partnership Agreement. “Control” - means the direct or indirect ownership of at least 51% of the beneficial equity interests and voting power of an entity. “Equity Securities” — REIT Equity Securities and Operating Partnership Equity Securities. “Exchange Act” - Securities Exchange Act of 1934, as amended. “First Union” - First Union Real Estate Equity and Mortgage Investments.

Common Equity Securities means Common Stock and Rights, excluding the Warrants.

Common Equity Securities means, with respect to any Stockholder, any of the following that is now owned or that is hereinafter acquired by such Stockholder: (i) any Common Stock of the Company; and (ii) any warrant or option to purchase any shares of Common Stock.

Common Equity Securities means, with respect to any corporation (the "Acquiror"), common stock having the right under ordinary circumstances to elect a majority of directors of the Acquiror, and that is registered under the Securities Act and (i) listed on the principal national securities exchange on which such common stock of the Acquiror is then listed or (ii) if not listed on national securities exchange, listed on the Nasdaq National Market if such stock is traded thereon or, if such stock is neither listed as provided in either (i) or (ii), qualified for inclusion on the Nasdaq over-the-counter system.
