Community Shares means a form of shares known as withdrawable share capital, which is unique to society law. Withdrawable share capital can be withdrawn from the Society, subject to these rules and any conditions set out in a share offer document.

Community Shares is a means of raising money within a community benefit society (CBS) structure. All supporters’ trusts are formed as community benefit societies (as defined under Industrial and Provident Society legislation) and this means that they can raise capital finance through this method.

• The City agrees to deduct from the paychecks of employees giving written authorization any monies for Community Shares, the United Way, Local 92 Charities, Local 92 PAC, Toledo Fire Museum, the Toledo Fire and Rescue Foundation, and IAFF FIREPAC payroll deduction program and remit such withholdings to the proper authorities.

• The City agrees to deduct from employees giving written authorization any monies for the United Appeal and Northwest Ohio Community Shares by payroll deduction and remit such withholdings to the proper authorities.

• The City agrees to deduct from the paychecks of employees giving written authorization any monies for Community Shares, United Way, Toledo Fire Museum, and the Toledo Fire and Rescue Foundation, and remit such withholdings to the proper authorities.

• If, after the Effective Time of the Merger, certificates are properly presented to the Exchange Agent, such certificates (other than Dissenting Shares) shall be exchanged for the consideration contemplated by this Agreement into which Community Shares represented thereby were converted in the Merger.
