No relationship, direct or indirect, exists between or among any of the Company or any Company Affiliate, on the one hand, and any director, officer, customer or supplier of the Company or any Company Affiliate, on the other hand, which is required by the Act, the Exchange Act or the Regulations to be described in the Registration Statement, the Statutory Prospectus and the Prospectus, which is not so described as required.
For all linear television exploitation, or irrevocably credited to, Company or Company Affiliates on a non-refundable basis from the exhibitor/distributor ( exclusive of the exhibitor/distributor’s share and any exhibitor/distributor fees [whether or not that exhibitor/distributor is a third party or a Company Affiliate]).

Except as disclosed in the Registration Statement, the Company shall not pay any Insider or Company Affiliate or any of their affiliates any fees or compensation for services rendered to the Company prior to, or in connection with, either the Offering or the Business Combination.
