Company Clients definition

Company Clients means all clients of the Company that had engagements in process as of the Closing Date or were in progress at any point after January 1, 2012.
Company Clients means (i) the actual current clients and customers of Company which Employee alone, or in combination with others, handled, serviced, or solicited at any time during the one (1) year period immediately preceding the Termination Date. In the case of a corporate client, “Company Client” shall, in addition to the corporate client itself, the individual representative of the corporate client and his or her successor or equivalent within the organizational subdivision of the corporate client on behalf of which he or she patronized Company, any organizational subdivision of the corporate client on behalf of which such individual representative has patronized Company, and any organizational subdivision of the corporate client referred to Employee by such individual representative.
Company Clients means those clients of the Company and its Subsidiary for which they provide investment advisory services.

Examples of Company Clients in a sentence

  • If no trades were executed for Company Clients in the previous 7 calendar days and there are no open orders to buy or sell the same security at the time the trade was submitted, the approval will be given.

  • If there are no trades, a search will be done to identify any open orders for Company Clients.

  • As noted above, because the Company and each of its Employees is a fiduciary to the Company Clients, the Company and such persons must avoid actual and apparent conflicts of interest with the Company Clients.

  • Employees are not to make a trade if the employee has reason to believe that a reasonable person may believe that the trade should first be offered to the Company Clients.

  • Executive agrees (1) to adhere to applicable Company policies, procedures and requirements in performing the assigned work and (2) to exert Executive’s best efforts and to perform in a professional manner at all times while performing Executive’s duties and in working with Company Clients.


More Definitions of Company Clients

Company Clients means all persons or entities that have used or inquired of the Company's services at any time during the two-year period preceding the termination of EMPLOYEE's employment with the Company or whose identity otherwise constitutes trade secret information. EMPLOYEE acknowledges and agrees that the identity of the Company Clients is not readily ascertainable or discoverable through public sources, and that the Company's list of Company Clients was cultivated with great effort and secured through the expenditure of considerable time and money by the Company. Notwithstanding the foregoing, this Section does not prohibit EMPLOYEE from accepting as customers those Company Clients of EMPLOYEE that wish to transfer their business without being solicited by EMPLOYEE, directly or indirectly.
Company Clients means (a) the customers of the Company Business as of, or during the 12 month period before, the Termination Date, about which Employee had actual knowledge; (b) any prospective customers of the Company Business as of, or during the 12 month period before, the Termination Date about which Employee had actual knowledge or with respect to which Employee received material Confidential Information; and (c) any other customer of the Company or its Affiliates as of, or during the 12 month period before, the Termination Date, or prospective customer of the Company or its Affiliates as of, or during the 12 month period before, the Termination Date, in each case, about which Employee has actual knowledge and (i) with respect to which Employee has received material Confidential Information, (ii) with which Employee has had direct substantial contact, (iii) to which Employee has provided services in the course of performing his duties for the Company or (iv) with respect to which Employee was actively engaged in the solicitation of such Person’s business with the Company or such of its Affiliates.
Company Clients has the meaning set forth in Section 3.20(a).
Company Clients means those actual clients and customers of Company and those active prospective clients or customers of Company handled, serviced, or solicited at any time during the Term (as defined in Section 2).

Related to Company Clients

  • Investment Company Client means any Investment Company (or series thereof ) as to which the Firm is an investment adviser or investment sub-adviser.

  • Company Customer means a person or entity for whom the Company or any of its Subsidiaries was providing services either at the time of, or at any time within the twelve (12) months preceding the Termination Date, and for whom the Participant had direct contact with and/or carried out or oversaw a material business responsibility during said twelve (12) month period or about whom the Participant had exposure to or received Confidential Information as a result of the Participant’s employment with the Company or any of its Subsidiaries.

  • Clients means the Janus Funds and other individual and institutional advisory clients of Janus.

  • End Client means the end client (if any) in respect of the project in connection with which the Supplier is providing its Services as a sub-contractor;

  • Employer/Client means the PSCA that signs the contract for the services/goods with the selected/qualified Contractor.

  • Prospective Client means any person or entity to which the Corporation, or any of its Subsidiaries, provided, or from which the Corporation, or any of its Subsidiaries received, a proposal, bid, or written inquiry (general advertising or promotional materials and mass mailings excepted) and with which the Participant had contact, or about which the Participant had access to Confidential Information, during the last twelve (12) months of his or her employment.

  • The Client means the organization purchasing the service.

  • Retail Client means a client who is not a professional client;

  • Company Affiliate means any entity controlled by, in control of, or under common control with, the Company.

  • Company Data means all data collected, generated, or received in connection with the marketing, delivery, or use of any Company Product, including Company-Licensed Data, Company-Owned Data and Personal Data.

  • Transaction Personal Information has the meaning ascribed thereto in Section 9.1;

  • Company Personnel means any current or former officer, employee, director or consultant of the Company or any of its Subsidiaries.

  • Investment Client means (i) any investment company registered as such under the Investment Company Act, any series thereof, or any component of such series for which the Adviser acts as investment adviser; or (ii) any private account for which the Adviser acts as investment adviser.

  • Customers means such brokerage or other customers or investment advisory or other clients of a Recipient, and/or accounts as to which such Recipient provides administrative support services or is a custodian or other fiduciary.

  • Potential Client means any person or entity to whom the Company has offered (by means of a personal meeting, telephone call, or a letter or written proposal specifically directed to the particular person or entity) to serve as investment adviser or to provide or distribute insurance products but which is not at such time an advisee, investment advisory or insurance customer, distributor or client of the Group or any person or entity for which a plan exists to make such an offer; persons or entities solicited or to be solicited solely by non-personalized form letters and blanket mailings are excluded from this definition;

  • Business Opportunity means any commercial, investment or other business opportunity relating to the Business.

  • Customer Group means Customer and any of its Affiliates established and/or doing business in the EEA, or United Kingdom;

  • Business Opportunities means all ideas, concepts or information received or developed (in whatever form) by you concerning any business, transaction or potential transaction that constitutes or may constitute an opportunity for the Company to earn a fee or income, specifically including those relationships that were initiated, nourished or developed at the Company’s expense. Confidential Information does not include data or information: (1) which has been voluntarily disclosed to the public by the Company, except where such public disclosure has been made by you without authorization from the Company; (2) which has been independently developed and disclosed by others; or (3) which has otherwise entered the public domain through lawful means.

  • Protected Employees means employees of the Company who were employed by the Company at any time within six (6) months prior to the Determination Date.

  • Established business relationship means a relationship between a seller and a consumer based on:

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Professional Client means a “Professional Client” for the purposes of CySEC Rules, as specified in the Client Categorization Policy found on the Company’s Website.

  • Advisory Client means any client (including both investment companies and managed accounts) for which Invesco serves as an investment adviser, renders investment advice, or makes investment decisions.

  • Company IT Systems means all Software, computer hardware, servers, networks, platforms, peripherals, and similar or related items of automated, computerized, or other information technology (IT) networks and systems (including telecommunications networks and systems for voice, data and video) owned, leased, licensed, or used (including through cloud-based or other third-party service providers) by the Company.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.
