Company Closing definition

Company Closing means the Closing under (and as defined in) the Primary Agreement.
Company Closing means the satisfaction of the conditions specified --------------- in Section 4.02.
Company Closing means the date on which this Agreement becomes effective.

  • Parent shall have received (i) the Parent Closing Tax Opinion and (ii) a copy of the Company Closing Tax Opinion.

  • This Agreement constitutes, and when so executed and delivered the Company Closing Documents will constitute, the legal, valid and binding obligations of the Company, enforceable against it in accordance with their terms.

  • The Compensation Committee will then measure Company performance by dividing the Company Closing Price by the Company Baseline, with the quotient expressed as a percentage of the Company Baseline (the “Company Percentage Performance”).

  • Plant Closing means a permanent cessation or reduction of business at a facility which results or will result as determined by the director in the permanent separation of at least 90% of the employees of said facility within a period of six months prior to the date of certification or with such other period as the director shall prescribe, provided that such period shall fall within the six month period prior to the date of certification.

  • Pre-Closing Tax Period means any Tax period ending on or before the Closing Date.

  • Closing Transactions has the meaning set forth in Section 11.8(a) of these Bylaws.

  • Second Closing Date means the date of the Second Closing.
