Company Financing definition

Company Financing means the raising of debt and or equity funds by the Company required to meet the Company’s funding commitment (under the Shareholders’ Agreement) to KMC to develop the Khnaiguiyah Project into production as defined under the DFS.

More Definitions of Company Financing

Company Financing means the first issuance of equity securities by the Company in one transaction or a series of related transactions which is a bona fide financing transaction with proceeds to the Company equal to at least $5.0 million (excluding the conversion of any convertible debt).
Company Financing shall include the financing contemplated by the Company Financing Commitment as amended, supplemented, modified, replaced, terminated reduced or waived in compliance with this Section 5.17(j) and by any Company Permanent Financing.
