Company Growth Principles definition

Company Growth Principles means the principles set out in Sections 1.2(a), 1.2(b) and 1.2(c) of this Agreement.

  • Subject to the provisions of this Agreement and the Shareholders Agreement, each of the Parties confirms its objective to build the leading wireless and mobile telephone venture in Brazil by operating solely through the Company and otherwise to take, or refrain from taking, any actions in such a manner to permit the Company to fully comply with the Company Growth Principles, and to cause each of the TEF Group and PT Group to act in the same manner.

Related to Company Growth Principles

  • Company Group means the Company and its Subsidiaries.

  • Combined Company means Holdco and its consolidated subsidiaries after giving effect to the Business Combination.

  • Company Group Member means each member of the Company Group.

  • SONIAi-pLBD means, in respect of any London Banking Day falling in the relevant Interest Period, the SONIA Reference Rate for the London Banking Day falling "p" London Banking Days prior to the relevant London Banking Day "i".

  • Company Law means the Companies Law (as amended) of the Cayman Islands.

  • PRC Companies means, collectively, all entities listed in Appendix A hereof, and each, a “PRC Company”.

  • external company means a foreign company that is carrying on business, or non-profit activities, as the case may be, within the Republic, subject to section 23(2);

  • Planned community means a common interest community that is not a condominium or a cooperative. A condominium or cooperative may be part of a planned community.

  • Company Governing Documents means the Company Bylaws and the Company Certificate.

  • Non-transient non-community water system means a public water system that is not a community water system and that regularly serves at least 25 of the same persons over 6 months per year.

  • Public Company means any Person with a class or series of Voting Stock that is traded on a stock exchange or in the over-the-counter market.

  • Company Returns is defined in Section 3.15(a) of the Agreement.

  • Internal combustion engine or ‘engine’ means an energy converter, other than a gas turbine, designed to transform chemical energy (input) into mechanical energy (output) with an internal combustion process; it includes, where they have been installed, the emission control system and the communication interface (hardware and messages) between the engine's electronic control unit(s) and any other powertrain or non-road mobile machinery control unit necessary to comply with Chapters II and III;

  • Senior Management Personnel means personnel of the company who are members of its core management team excluding Board of Directors. Normally, this would comprise all members of management one level below the executive directors, including all functional heads.

  • ETP means Energy Transfer Partners, L.P., a Delaware limited partnership.
