Company PSU means a restricted stock unit issued by the Company pursuant to a Company Equity Plan that vests in whole or in part upon the achievement of one or more performance goals (notwithstanding that the vesting of such restricted stock unit may also be conditioned upon the continued services of the holder thereof), pursuant to which the holder has a right to receive Shares after the vesting or lapse of restrictions applicable to such unit. “Company PSU” shall not include Company RSUs.
Company Plans has the meaning set forth in Section 4.10(a).
Company Personnel means any current or former director, officer or employee of the Company or any Company Subsidiary.
Company Employee Plans has the meaning set forth in Section 3.12(a).
Company Employees shall have the meaning set forth in Section 6.10(a).
Company Plan means any Benefit Plan: (i) under which any current or former director, officer, employee, consultant or independent contractor of the Company has any present or future right to benefits and that is maintained, sponsored or contributed to by the Company; or (ii) with respect to which the Company has any Liability.
Company Employee Plan means any plan, program, policy, practice, contract, agreement or other arrangement providing for compensation, severance, termination pay, deferred compensation, performance awards, stock or stock-related awards, fringe benefits or other employee benefits or remuneration of any kind, whether written or unwritten or otherwise, funded or unfunded, including without limitation, each "employee benefit plan," within the meaning of Section 3(3) of ERISA which is or has been maintained, contributed to, or required to be contributed to, by the Company or any Affiliate for the benefit of any Employee, or with respect to which the Company or any Affiliate has or may have any liability or obligation;
Company Privacy Policies means all current and, to the extent applicable, prior public or internal policies, procedures and representations of the Company or its Subsidiaries to the extent relating to data security or the Processing of Personally Identifiable Information, including the Data Protection Program.
Company Employee means any current or former employee, independent contractor or director of the Company or any Company Affiliate.
Company Employee Agreement means any management, employment, severance, change in control, transaction bonus, consulting, repatriation or expatriation agreement or other contract between any Group Company and any current or former employee, director or officer of such Group Company.
Buyer Benefit Plans has the meaning set forth in Section 6.10(f).
Company Benefit Plans has the meaning set forth in Section 3.16(a).
Seller Benefit Plans has the meaning set forth in Section 4.10(a).
Company Employee Benefit Plan means each Employee Benefit Plan that is maintained, sponsored or contributed to (or required to be contributed to) by any of the Group Companies or under or with respect to which any of the Group Companies has any Liability.
Parent Stock Plans has the meaning set forth in Section 4.5(a).

Company Benefit Plan has the meaning specified in Section 4.13(a).
Seller Benefit Plan means each Employee Benefit Plan that is sponsored, maintained or contributed to or required to be contributed to by Seller or any of its Affiliates, or with respect to which Seller or any of its Affiliates may have any Liability, and in which one or more Business Employees participates.
Stock Plans shall have the meaning set forth in Section 2.9(a).
Company 401(k) Plan shall have the meaning set forth in Section 4.11(f).
Company Group means the Company and its Subsidiaries.
Transferred Employees has the meaning set forth in Section 6.4(a).
