From June 30, 2023 to the date of this Agreement, there has been no material change in the pricing or other material terms of its business relationship with any Material Company Customer or Material Company Vendor that is materially adverse to the Company or its Subsidiaries, except changes made in the ordinary course of business consistent with past practices which changes in the aggregate would not be materially adverse to the Company and its Subsidiaries, taken as a whole.
As of the date of this Agreement, all amounts due and owing by such Material Company Customer to, or to such Material Company Vendor by, the Company or any of its Subsidiaries have been paid in all material respects in accordance with their respective terms.
For this reason, Company has developed an Company Vendor Requirement Document.
As of the date of this Agreement, neither the Company nor any of its Subsidiaries is engaged in a material dispute with a Material Company Customer or Material Company Vendor.
Further, if reasonably requested by Company, Vendor will provide Company with a summary of the most recent testing results of its continuity plan.
After all of the requirements of the Company Vendor Requirements documents have been met, and the bandwidth test has been satisfactorily performed, Jabil’s personnel will be subject to the Proficiency Test Script, which will aid in the proficiency assessment of Jabil’s personnel.
If Vendor has any rights to the Intellectual Property Rights that cannot be assigned or licensed to Company, Vendor unconditionally and irrevocably waives the enforcement of such rights, and all claims and causes of action of any kind against Company or related to Company’s customers, licensees, members, and/or Affiliates, with respect to such rights, and agrees, at Company’s request and expense, to consent to and join in any action to enforce such rights.
Upon termination of this Agreement, or earlier if requested by Company, Vendor will promptly return (via secure method and upon such media as may be reasonably requested by Company) or destroy (via destruction or deletion, with such destructed or deletion certified in writing to Company if requested), as requested by Company, all physical and electronic materials in the Vendor’s possession or control containing the Company’s Confidential Information.
