Company Voting Proposal means, collectively, the proposal for approval of (i) this Agreement and the Merger and (ii) the amendment and restatement of the Company's Certificate of Incorporation as contemplated by the Voting Agreement contemplated by Section 8.3(l) hereof (the "Company Amended Certificate").
