Compensation Agreement definition

Compensation Agreement means the letter of even date from the Corporation to you, as accepted by you, regarding your compensation and benefits.
Compensation Agreement means a written or oral agreement, arrangement or understanding of any kind (including any employment, consulting, compensation, deferred compensation, termination or severance agreement, arrangement or understanding) with or for the benefit of any prior or present employee, officer, director or consultant of the Company, any ERISA Affiliate or any Subsidiary of the Company as to which the Company, any ERISA Affiliate or any Subsidiary of the Company is a party or may have any liability, except for any Company Plan; and
Compensation Agreement means a Contract or other arrangement between any Seller, any Transferred Entity or any of their respective Affiliates and any Transferred Entity Employee or Former Transferred Entity Employee pursuant to which any Seller, any Transferred Entity or any of their respective Affiliates has any actual or contingent liability or obligation to provide compensation in consideration for past, present or future services, but in any event, including any retention, bonus, success bonus, separation, or severance agreement with a Transferred Entity Employee and any arrangement listed on Section 3.10(c) of the Seller Disclosure Schedule.
