The Board of Directors, by resolution adopted by a majority of the Entire Board of Directors, may (and, from and after the Listing Date, shall) designate a Compensation Committee comprised of not fewer than three (3) directors, all of whom shall be Independent Directors, who shall satisfy the requirements to be a “non-employee director” under Rule 16b-3 of the Exchange Act and an “outside director” under Code Section 162(m).
Other than an Appointed Director, Independent Directors may be paid compensation as determined by the Initial Board or, following the Listing Date, the Compensation Committee, as the case may be; provided, however, that the directors shall not receive any compensation prior to the issuance of the Common Shares.
