Examples of Competing Entity in a sentence
As long as I am employed by the Company for a period of twenty-four (24) months after the termination of my employment for any reason, voluntarily or involuntarily, I shall not, on behalf of any Competing Entity, solicit or negotiate with any person or entity which was a company customer or employee while I was employed by the Company.
Notwithstanding anything contained herein to the contrary, the foregoing Restrictive Covenant shall not prohibit a Designated Insider from owning directly or indirectly capital stock or similar securities, which are listed on a securities exchange or quoted on the NASDAQ, which do not represent more than one percent (1%) of the outstanding capital stock of any Competing Entity.
For purposes of this Agreement, Competing Entity includes: (1) any entity listed on Appendix A attached to this Agreement; (2) any entity which, in the future, shall plan, attempt or engage in any activities with the object, goal or purpose of competing with the Company or any of the entities listed on Appendix A.
Pursuant to Section 10.1 of the Bylaws, any Medical Staff Officer, or any candidate for a position as an officer of the Medical Staff, who has an actual or potential Conflict of Interest Involving a Competing Entity or an actual or potential Conflict of Interest Involving Virtua Health System shall make a complete and accurate disclosure of the existence and nature of the relationship.
For purposes of this Section 5.3, (i) the term "Competing Entity" shall mean any entity which presently or during the Restricted Period engages in any business activity in which the Company is then engaged; and (ii) the term "Territory" shall mean any geographic area in which the Company conducts business during such Restricted Period.
