Competitor Group definition

Competitor Group means the apparel and related companies as previously designated by the Committee; provided, that if any company so designated is merged into or consolidated with, or is acquired by, another entity after the date hereof, such company shall no longer be included in the Competitor Group as of the date of the consummation of such merger, consolidation or acquisition.
Competitor Group means (i) with respect to the First Three-Year Performance Vesting Period, the apparel and related companies as previously designated by the Committee and (ii) with respect to subsequent Three-Year Performance Vesting Periods, such apparel and related companies as shall be designated by the Committee, and shall for all purposes hereunder include the Company.
Competitor Group means, with respect to any Competitor, such Competitor together with (a) each of its Affiliates, (b) each joint venture (or similar arrangement) in which any such Competitor or any of its Affiliates participates, directly or indirectly, and (c) each other person that acts in a partnership, limited partnership, syndicate or other group with any such Competitor or any of its Affiliates for purposes of owning or controlling, directly or indirectly, any Equity Interest in, or operating, any casino or convention, trade show or exhibition facility.”

Related to Competitor Group

  • Competitor means any company, other entity or association or individual that directly or indirectly is engaged in the Company’s Business.

  • Competitors means any Person who is not an Affiliate of a Loan Party and who engages (or whose Affiliate engages), as its primary business, in the same or similar business as a material business of the Loan Parties.

Further, notwithstanding anything in this Section 5, the Executive shall not be considered to be in violation of this Section 5 solely by reason of owning, directly or indirectly, any stock or other securities of a Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in any such Competitive Enterprise) if the Executive’s interest does not exceed 5% of the outstanding capital stock of such Competitive Enterprise (or comparable interest, including a voting or profit participation interest, in such Competitive Enterprise).

  • Competitive Product means a product or service, made or provided by a Competitor, which is the same as or is directly competitive with one with respect to which the Employee acquired confidential information relating to the Company, or its business, products or services by reason of the Employee's work with the Company.

  • Competitive Activities means any business activities in which the Company or any other member of the Company Group engage (or have committed plans to engage) during the Term of Employment, or, following termination of Employee’s employment hereunder, was engaged in business (or had committed plans to engage) at the time of such termination of employment.

  • Competitive Activity will not include (i) the mere ownership of securities in any such enterprise and the exercise of rights appurtenant thereto or (ii) participation in the management of any such enterprise other than in connection with the competitive operations of such enterprise.

  • Competitively Sensitive Information means non-public information and data specific to a utility customer which the utility acquired or developed in the course of its provision of utility services.
