The Authority shall appoint, no later than [90 (ninety)] days from the Execution Date, a third- party agency (the “Independent Expert”) for the Concession Period.
It is expressly agreed that trees on the Project Site are the property of the Authority except that the Concessionaire shall be entitled to exercise usufructuary rights thereon during the Concession Period.
The Concessionaire shall also effect and maintain such insurances as may be necessary for mitigating the risks that may devolve on the Authority as a consequence of any act or omission of the Concessionaire during the Concession Period.
Signing of the memorandum, in 2 (two) counterparts (each of which shall constitute an original), by the authorised representatives of the Parties shall, subject to the provisions of Article 10.2.1, be deemed to constitute a valid Right of Way to the Concessionaire for free and unrestricted use and development of the Project Site which is vacant and free from any Encumbrance during the Concession Period under and in accordance with the provisions of this Agreement and for no other purpose whatsoever.
In the event that the Concessionaire intends to undertake any such services, it shall obtain all necessary applicable permits in accordance with such Change in Law and comply with such Change in Law throughout the Concession Period.
