Confidentiality Commitment definition

Confidentiality Commitment means the commitments outlined at Part B paragraph [7] of these Proposals;
Confidentiality Commitment means the commitments outlined at paragraphs 2 to 5 of these Proposals;
Confidentiality Commitment. “Trade Secret” means information, without regard to form, including, but not limited to, technical, non-technical or financial data, a formula, algorithm, pattern, compilation, program, device, method, technique, process, or plan that: (A) Derives independent economic value, actual or potential, from not being generally known to, and not being readily ascertainable by proper means by other persons who can obtain economic value from its disclosure or use; and (B) Is the s ubject of efforts that are reasonable under the circumstances to maintain its secrecy. R eferences to “confidential information” shall mean any information which is not publicly available but which does not rise to the level of a trade secret. Recipient’s Obligations: The recipient of such c onfidential or trade secret information shall take reasonable s teps to protect the confidential nature of discloser’s confidential or trade secret information. Reasonable steps mean at least xxxx e steps which recipient uses to protect its own confidential information, but in no event shall a party exercise less than a reasonable standard of care. Recipient shall not disclose its interest in the objective to third parties without the other party’s prior written approval. Recipient shall limit the disclosure of the other’s c onfidential information and trade secrets to its employees, officer, and directors, and its affiliate’s employees, officers and directors, who have a need to know related to the objectiv e (such persons hereinafter c ollectively “Employees”). R ecipient shall instruct its Employees that the other party’s confidential information and trade secrets are proprietary and to be held in c onfidence by said E mployees. R ecipient shall ensure that all Employees to whom the other’s c onfidential or trade secret information is disclosed take reasonable precautions to c onfidential status of the other’s trade secrets.

  • Revolving Commitment means, as to each Lender, its obligation to (a) make Revolving Loans to the Borrower pursuant to Section 2.01, (b) purchase participations in L/C Obligations, and (c) purchase participations in Swing Line Loans, in an aggregate principal amount at any one time outstanding not to exceed the amount set forth opposite such Lender’s name on Schedule 2.01 or in the Assignment and Assumption pursuant to which such Lender becomes a party hereto, as applicable, as such amount may be adjusted from time to time in accordance with this Agreement.

  • U.S. Revolving Commitment means the commitment of a Lender to make or otherwise fund any U.S. Revolving Loan and to acquire participations in U.S. Letters of Credit and Swing Line Loans hereunder and “U.S. Revolving Commitments” means such commitments of all Lenders in the aggregate. The amount of each Lender’s U.S. Revolving Commitment, if any, is set forth on Schedule 1.01(c) or in the applicable Assignment Agreement or Joinder Agreement, as applicable, subject to any adjustment or reduction pursuant to the terms and conditions hereof. The aggregate amount of the U.S. Revolving Commitments as of the Restatement Date is $265,000,000.

  • Service commitment area means a medically underserved Iowa city with a population of less than 26,000 that is located more than 20 miles from a city with a population of 50,000 or more. Each applicant participating in the program must contract with the service commitment area to ensure the service commitment area provides a nonrefundable $2,000 contribution for deposit in the rural Iowa advanced registered nurse practitioner and physician assistant trust fund. Payment of the nonrefundable contribution to the trust fund can be made by, but is not limited to, the following organizations: community agencies, hospitals, medical groups, municipalities, community foundations, local government entities, or other community entities. Locations and distances between cities will be consistently measured and verified by calculating the straight-line distance between main post offices.

  • Equity Commitment Letters has the meaning set forth in Section 6.6(a).

  • Total Utilization of Revolving Commitments means, as at any date of determination, the sum of (i) the aggregate principal amount of all outstanding Revolving Loans (other than Revolving Loans made for the purpose of repaying any Refunded Swing Line Loans or reimbursing Issuing Bank for any amount drawn under any Letter of Credit, but not yet so applied), (ii) the aggregate principal amount of all outstanding Swing Line Loans and (iii) the Letter of Credit Usage.

  • U.S. Commitment means, with respect to each U.S. Revolving Lender, the commitment, if any, of such U.S. Revolving Lender to make U.S. Revolving Loans and to acquire participations in U.S. Letters of Credit, Swingline Loans and U.S. Protective Advances hereunder, expressed as an amount representing the maximum possible aggregate amount of such U.S. Revolving Lender’s U.S. Revolving Exposure hereunder, as such commitment may be reduced or increased from time to time pursuant to (a) Section 2.09 and (b) assignments by or to such U.S. Revolving Lender pursuant to Section 9.04. The initial amount of each U.S. Revolving Lender’s U.S. Commitment is set forth on the Commitment Schedule, or in the Assignment and Assumption pursuant to which such U.S. Revolving Lender shall have assumed its U.S. Commitment, as applicable. The aggregate initial amount of the U.S. Commitments is $800,000,000.
