The Restrictive Covenants and Confidentiality Covenants shall be construed as independent covenants and the existence of any claim, demands, action or cause of action of Executive against the Company, whether predicated on this Agreement or otherwise, shall not constitute a defense to the enforcement by the Company of the Restrictive Covenants and Confidentiality Covenants.
Notwithstanding the foregoing, the Company shall have no obligation to provide information that it reasonably considers to be a trade secret or confidential to any Major Investor (or its employees, agents or representatives) who in the Company’s reasonable determination is a competitor of the Company, provided that this sentence does not apply to the Company’s obligation to provide Information to GE which obligation is subject to the GE Confidentiality Covenants set forth elsewhere in this Agreement.
The obligations of Optionee under this section, "Confidentiality Covenants," shall survive any termination of this Agreement.
In addition, from and after the Closing, CellStar shall not amend, modify, replace, terminate, or waive compliance with any provisions of the Non-Competition and Confidentiality Covenants.
Notwithstanding the foregoing, Executive represents and warrants that she has to date complied fully with the provisions of such Non-Competition and Confidentiality Covenants.
A Notice is deemed to have been received upon receipt as indicated by the date on the signed receipt; provided, however, that if the recipient rejects or otherwise refuses to accept the Notice, or if the Form of Non-Competition and Confidentiality Covenants, October 16, 2019 10 Notice cannot be delivered because of a change in address for which no Notice was given, then upon such rejection, refusal or inability to deliver, such Notice will be deemed to have been received.
Executive and his beneficiary shall forfeit all rights to deferred compensation under this Section 3 upon the date of the occurrence of either of the following events: (a) SYNOVUS' termination of the employment of Executive with SYNOVUS for Cause; (b) Executive's violation of the terms of the Noncompetition Covenants set forth in Section 4 below or the Trade Secrets and Confidentiality Covenants set forth in Section 5 below; or (c) Executive commits suicide.
Within 30 days after receipt of such request, the Board may (a) issue such a determination in writing, (b) issue its Form of Non-Competition and Confidentiality Covenants, January 19, 2017 refusal of such request in writing, or (c) issue a written request for more written information concerning the Proposed Transaction.
From and after the Closing, CellStar shall either: (i) at the reasonable request of Buyer, enforce the covenants set forth in Article 2 of the Kaiser Employment Agreement (the "NON-COMPETITION AND CONFIDENTIALITY COVENANTS"), it being acknowledged and agreed by Buyer that it shall reimburse CellStar for its reasonable costs and expenses incurred in connection therewith; or (ii) assign or otherwise provide the Buyer with the right to enforce the Non-Competition and Confidentiality Covenants.
