The Closing shall take place in escrow with the Escrow Agent at 10 a.m. Eastern Time on or before February 28, 2013 (the “Closing Date”), or at such other location or time as Seller and Buyer shall mutually designate.
The Debtors believe that if the Confirmation Order is entered by the Bankruptcy Court, the Canadian Court will likewise enter the Canadian Plan Confirmation Recognition Order; however, there can be no assurance that the Canadian Court will do so, and failure to do so may delay or preclude confirmation of the Plan.
On the Effective Date, the Debtors shall consummate the Sale Transaction and, among other things, the Acquired Assets shall be transferred to and vest in the Winning Bidder free and clear of all Liens, Claims, charges, interests or other encumbrances pursuant to sections 363(f) and 1141(c) of the Bankruptcy Code and in accordance with the terms of the Confirmation Order, the Confirmation Recognition Order, the Plan, and the Asset Purchase Agreement, each as applicable.
Upon entry of the Confirmation Order and granting by the Canadian Court of the Confirmation Recognition Order in the Recognition Proceedings, all Holders of Claims and Interests and their respective current and former employees, agents, officers, directors, principals, and direct and indirect affiliates shall be enjoined from taking any actions to interfere with the implementation or Consummation of the Plan.
The Confirmation Recognition Order shall not have been supplemented, modified or stayed by the Canadian Court or any other court having jurisdiction to issue any such stay.
Except as expressly set forth in the Plan, the Plan shall have no force or effect unless the Bankruptcy Court shall enter the Confirmation Order and the Canadian Court shall issue the Confirmation Recognition Order.
The Confirmation Recognition Order shall have been entered by the Canadian Court, in form and substance reasonably acceptable to Agent (the “Confirmation Recognition Order”).
Unless otherwise provided in the Plan, the Confirmation Order, or the Confirmation Recognition Order, all injunctions or stays in effect in the Chapter 11 Cases pursuant to sections 105 or 362 of the Bankruptcy Code or any order of the Bankruptcy Court, and extant on the Confirmation Date (excluding any injunctions or stays contained in the Plan, the Confirmation Order, or the Confirmation Recognition Order), shall remain in full force and effect until the Effective Date.
If the Canadian Court refuses to grant the Confirmation Recognition Order, the Plan will not be recognized and enforced in Canada.
Entry of a Confirmation Order or Confirmation Recognition Order shall mean that all modifications or amendments to the Plan since the solicitation thereof are approved pursuant to section 1127(a) of the Bankruptcy Code and do not require additional disclosure or re- solicitation under Bankruptcy Rule 3019.
