Confirmation Shares definition

Confirmation Shares means any shares of Common Stock to be issued, sold and/or delivered by the Company to a Forward Purchaser in settlement of all or any portion of the Company’s obligations under any Forward Contract.
Confirmation Shares as used in the Equity Distribution Agreement means the number of shares of Common Stock as may be sold in accordance with this Agreement in settlement of all or any portion of the Company’s obligations under any Forward. The Company understands that the Underwriter proposes to make a public offering of the Shares on the terms herein as soon as the Underwriter deems advisable after this Agreement has been executed and delivered.

Examples of Confirmation Shares in a sentence

  • The Company will reserve out of authorized but unissued Common Shares and keep available at all times, free of pre-emptive rights, the full number of Shares and Confirmation Shares to be issued and sold or delivered hereunder or pursuant to any Confirmation or any Alternative Confirmation.

  • No holder of Shares or Confirmation Shares will be subject to personal liability solely by reason of being such a holder.

  • The Company has paid or shall pay the required Commission filing fees relating to the Shares and any Confirmation Shares within the time required by Rule 456(b)(1) without regard to the proviso therein and otherwise in accordance with Rules 456(b) and 457(r).

  • The Shares and any Confirmation Shares shall have been approved for listing on the NYSE, subject only to notice of issuance at or prior to each Settlement Date.

  • The Company will use its commercially reasonable efforts to cause the Shares and any Confirmation Shares to be listed for trading on the NYSE and to maintain such listing.

  • The Shares and the Confirmation Shares conform in all material respects to the statements relating thereto contained in the Registration Statement, the General Disclosure Package and the Prospectus.

  • Neither the issuance of the Shares nor the issuance of the Confirmation Shares is subject to the preemptive or other similar rights of any securityholder of the Company.

  • The Shares and the Confirmation Shares satisfy the definition of an “actively-traded security” exempted from the requirements of Rule 101 of Regulation M under the Exchange Act by subsection 101(c)(1) of such rule.
