Examples of Consents and Authorizations in a sentence

  • Upon the terms and subject to the conditions hereof, Buyer and Seller shall each use its respective reasonable best efforts to (a) take or cause to be taken all actions and to do or cause to be done all other things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement and the Ancillary Agreements and (b) obtain in a timely manner all Consents and Authorizations and effect all necessary registrations and filings.

  • All Required Consents and Authorizations shall have been obtained.

  • Such Consents and Authorizations must be in form and substance satisfactory to Payplant, and must specifically authorize Client to sell its Receivables to Payplant free and clear of the Priming Lienholder’s security rights and interest.

  • As a precondition to Client being permitted to post Government Receivables for sale to Payplant, Payplant or Client must first obtain Consents and Authorizations from all Priming Lienholders who may have filed UCC-1 financing statements encumbering Client’s Receivables prior in time to Payplant’s later UCC filing.

  • All such Consents and Authorizations are in full force and effect and none of the Borrower or any Cybernet Company is in default in any respect thereunder, which default could have a Material Adverse Effect.

  • Upon the terms and subject to the conditions hereof, Buyer and Seller shall each use its respective commercially reasonable efforts to (a) take or cause to be taken all actions and to do or cause to be done all other things necessary, proper or advisable to consummate and make effective as promptly as practicable the transactions contemplated by this Agreement and the Ancillary Agreements and (b) obtain in a timely manner all Consents and Authorizations and effect all necessary registrations and filings.

  • The Borrower and each of the Cybernet Companies possess all Consents and Authorizations under any applicable Law which are necessary in connection with the operation of their respective Business, the non-possession of which could reasonably be expected to have a Material Adverse Effect.

  • The Consents and Authorizations shall be on such terms as are acceptable to the Purchaser, acting reasonably.
