Consideration Shares definition

Consideration Shares has the meaning ascribed thereto in Section 2.2.

• The Shareholder is able to bear the economic risk of holding the Consideration Shares for an indefinite period (including total loss of his investment), and has sufficient knowledge and experience in financial and business matters so as to be capable of evaluating the merits and risk of his investment.

• By executing this Agreement, the Shareholder further represents that he does not presently have any contract, undertaking, agreement or arrangement with any person to sell, contribute, transfer or grant participations to such person or to any third person, with respect to any of the Consideration Shares.

• With respect to any Stock Consideration Designee that does not provide the agreement and information set forth in this Section 5.10(b), 4Front shall not be obligated to issue any Consideration Shares to such Stock Consideration Designee pursuant to Section 2.04(b)(i) despite being so designated by the Shareholder, and 4Front shall instead issue such portion of the Consideration Shares to the Shareholder.
