Buyer Shares definition

Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

Buyer Shares shall have the meaning set forth in Section 2.2(b).

• Each Seller Party acknowledges that, because the Buyer Shares have not been registered under the Securities Act, the Buyer Shares must be held indefinitely unless subsequently registered under the Securities Act or unless an exemption from such registration is available.
