(SSI) whose principal place of business is 0000 X. Xxxx Xxxx, Xxxxxxx, Xxxxxx, 00000 ("SSI"), and SANMINA-SCI Corporation whose principal place of business is 0000 Xxxxx Xxxxx Xxxxxx, Xxx Xxxx, Xxxxxxxxxx, 00000, and its wholly owned subsidiaries (collectively "SANMINA-SCI"). The terms and conditions contained herein apply to the manufacture of computer Products and the related material procurement, inventory, test and packaging, thereof.
Consigned inventory as shown on the Borrowers' books or computer records, (ii) within thirty (30) days following the end of each month, at Agent's request, the Borrowers shall deliver to the Agent a detailed Schedule showing all outstanding advances under this Section 9.4(k) in form and content satisfactory to the Agent and (iii) the Borrowers shall put in place a system satisfactory to the Agent to set appropriate credit limits, track its credit experience and obtain financial information from Persons to whom advances are made under this Section 9.4(k);
Consigned and will perform in accordance with the applicable Specifications under normal handling, use and operation for a period of eighteen (18) months from the date Purchaser receives the Product. Manufacturer's sole obligation under this Product Warranty, and Purchaser's sole and exclusive remedy, shall be at Manufacturer's option, to either repair, replace or credit Purchaser's account for any Products found to be defective during this warranty period. This remedy is made on the following conditions: i. Manufacturer is notified in writing of the defective Products within a reasonable time after Purchaser or Purchaser's customer acknowledges receipt of Products. ii. Purchaser shall forward defective Products to Manufacturer at Manufacturer's expense. Manufacturer shall use its best effort to return the repaired or replaced Products freight prepaid by Manufacturer to Purchaser no later than thirty (30) days from the date Manufacturer receives the defective Products. Such Products will be returned Manufacturer F.O.B. destination. The Product Warranty referred to in this Agreement shall apply to all Products supplied to replace defective Products. Repaired Products shall be warranted for a period of ninety (90) days or the remainder of the original warranty period, whichever is longer. The aforementioned warranties shall inure to Purchaser and its assigns and may be passed through to Purchaser's customers.

Consigned. ITEMS AND/OR BAILMENT Each party hereto shall be deemed to be an independent contractor with respect to the performance of its obligations and duties hereunder. Nothing in this Agreement or the arrangement for which it is written shall constitute or create a joint venture, partnership, agency or any other similar arrangement between the parties. This Agreement makes reference in several locations to "consigned" equipment or "consigned" inventory, which is purchased by SSI and provided to SANMINA-SCI exclusively for assembling goods for SSI. The parties agree and acknowledge that these items are not "consigned" in the strict legal sense as a means for financing inventory to third parties. Instead, all references to items that are "consigned" to SANMINA-SCI by SSI in this Agreement or any related purchase order or other documents are intended to mean that a legal bailment has been established. No ownership or security interest of any kind in any such bailment is granted to SANMINA-SCI or its creditors. SANMINA-SCI will maintain separate bins and clear labeling to keep SSI inventory separate from other items, and will take precautions to ensure its creditors do not mistake SSI Bailment's as property of SANMINA-SCI.

  • Consignee means the person to whom the goods are required to be delivered as specified in the Contract. If the goods are required to be delivered to a person as an interim consignee for the purpose of dispatch to another person as provided in the Contract then that "another" person is the consignee, also known as ultimate consignee.
