Consultant Employee definition

Consultant Employee means without limitation, any employees, officers, directors, members, managers, trustees, volunteers, attorneys, and representatives of Consultant, and also includes any licensees, concessionaires, subcontractors, independent contractors, Consultant’s suppliers, subsidiaries, joint ventures or partners, and/or any such persons, successors or predecessors, employees, (whether such persons act or acted in their personal, representative or official capacities), and/or any and all persons acting by, through, under, or in concert with any of the above. “Consultant Employee” shall also include any person who was a Consultant Employee at anytime during the term of this contract but, for any reason, is no longer employed, appointed, or elected in that capacity.

Consultant Employee means any person or entity (i) who has rendered or will render bona fide services to the Company, and (ii) who, in the opinion of the Board of Directors, are in a position to make, or who have previously made, a significant contribution to the success of the Company.

  • Consultant hereby acknowledges, agrees and understands that the shares of common stock of the Client issued and registered on Form S-8 in connection with this Agreement shall be issued to the natural person performing the Services for Client, Consultant Employee, and not Consultant.

  • In the event that Employer desires to retain Employee as a Consultant, Employee shall hold himself available for a period of two (2) years for not more than twenty-five (25) hours per month, for which Employer shall pay Employee twenty-five percent (25%) of his monthly base pay at the time of termination of Employee's employment with Employer, whether or not Employee is called upon to render actual services in any such month for which he shall be paid.

  • During Employee’s tenure as a Technical Consultant, Employee shall be paid an annualized salary of $319,300.00, paid every two weeks, less any and all statutory withholding and deductions as required by law or as authorized by Employee.

  • In the event of your physical or mental Disability, whether through illness or otherwise, your employment with Company whether in your Current Position or as a Consultant Employee may be terminated, at the option of Company.

  • Employee and the Company both agree that, in his position as Executive Consultant, Employee shall have no access to Company email, no access to Company confidential, proprietary, or trade secret information, including revenue information, business plans, personnel files, or similar files and information.
