Content Revenue definition

Content Revenue means, for a given Approved Sale, fifty percent (50%) of total eLearning course and/or related content fee(s) contractually committed in the Approved Sale at the time of its execution. Notwithstanding the foregoing, if the duration of the Approved Sale is one (1) year or longer, Content Revenue will be calculated as fifty percent (50%) of total eLearning course and/or related content fee(s) contractually committed in the Approved Sale at the time of its execution, divided by the number of days in the Approved Sale, multiplied by three hundred sixty-five (365).
Content Revenue means banner ad/advertising, click-through or other e commerce tolling or any other revenues derived from the deployment, provisioning, use or hosting of the Content.
Content Revenue means all of Seller’s share of and right to receive any and all amounts derived by (or credited to) Seller in connection with the exploitation and/or exhibition of the Content during the Term on YouTube and/or any platform owned and/or controlled by Google (or any affiliate, successors and assigns thereof), including, without limitation, (a) all amounts paid from the Google AdSense account with respect to the Content, and (b) any other advertising, sponsorship, subscription or other revenues now known or hereafter devised regardless of how defined or characterized. For the avoidance of doubt, (i) no transactional revenue from channel level activities not respecting, related to, or including any of the Content (e.g., channel memberships, Super Chat, Super Stickers and live streaming that does not exhibit any of the Content) shall be included in Content Revenue, (ii) any and all revenue relating to exploitation of the right to view the Content on YouTube and/or any platform owned and/or controlled by Google (or any affiliate, successors and assigns thereof) prior to the Effective Date shall not be Content Revenue, and shall not be payable to Purchaser, regardless of when accounted for and/or paid, and (iii) any and all revenue relating to exploitation of the right to view the Content on YouTube and/or any platform owned and/or controlled by Google (or any affiliate, successors and assigns thereof) during the Term shall be Content Revenue, and payable to Purchaser, regardless of when accounted for and/or paid. For example, revenue relating to views of the Content during [ENTER THE MONTH PRIOR TO THE EFFECTIVE DATE] will not be Content Revenue, and will not be paid to Purchaser, even though paid and received after the Effective Date; while revenue relating to views of the Content during [ENTER THE LAST MONTH OF THE TERM] will be Content Revenue and will be paid to Purchaser, even though paid and received after [ENTER THE EXPIRATION DATE OF THE TERM].

Examples of Content Revenue in a sentence

  • Customer shall be entitled to receive such percentage of the charges paid by other users of the System to access the Licensed Customer Content as the Parties shall agree in the License Authorization (the “Customer Content Revenue Share”).

  • In consideration for the license, Provider shall pay to Customer within thirty (30) days after each anniversary of the effective date of this Agreement the Customer Created Content Revenue collected by Provider in the year ending on such anniversary.

  • Such payment shall be accompanied by a Customer Content Revenue account summary.

  • In consideration for utilization of the Theatres post-Showtime pursuant to the terms hereof (other than for [***] Platinum Spots), LLC shall calculate and Cinemark shall be entitled to receive Post-Showtime Theatre Access Fees as set forth in Schedule 1, which shall be paid based on Cinemark Attendance for the relevant fiscal month in which LLC provides the Post-Showtime Inventory, and which shall include the amount of Post-Showtime Content Revenue allocated to Cinemark for the same fiscal month.

  • Any revenue generated by the sale of content or advertising shall be shared with the Distributor with 50% of the Net Content Revenue being paid to Distributor and 50% being retained by Supplier.

  • Seller hereby grants Purchaser and its affiliates the authority and right to notify Google, Content ID and any other applicable third party that Purchaser is the legal purchaser of the Content Revenue and as such is entitled to any and all payments from the exploitation of the Content on the Channel(s) during the Term.

  • If for any reason Purchaser receives any payment of revenue derived from or arising in connection with the Content or the Channel that is not Content Revenue, Purchaser will immediately pay the amount of any such payment to Seller; provided, however, Purchaser shall be entitled to retain any payment received in connection with Purchaser’s enforcement of copyright infringement claims of the Content against third parties as permitted hereunder.

  • The parties hereby agree to the following Content Revenue sharing arrangement: (a) For Content Revenues generated or derived from sales by Customer, Customer shall retain _____% of the Content Revenues, and shall pay OSS ___% of such Content Revenue; (b) For Content Revenues generated or derived from sales by OSS, OSS shall retain ____% of the Content Revenues, and shall pay Customer ____% of such Content Revenue.

  • If for any reason Seller receives any Content Revenue, Seller shall hold such Content Revenue in trust for Purchaser, and will immediately pay the amount of such Content Revenue to Seller.

  • For the avoidance of doubt, Purchaser will receive, retain and own all Content Revenue paid during or after the Term in respect of all views during the Term.
