Within thirty days after receiving a Catch-up Statement, the Buyer shall pay the Contingent Cash Payment and shall issue the Buyer Stock representing the Contingent Stock Payment using the average closing price of a share of Buyer Stock as reported on NASDAQ for the fifteen (15) consecutive trading days ending on the day prior to the date of such issuance.
In respect of each Performance Period, within thirty (30) days following complete satisfaction of the Performance Period Requirements set forth below, the Buyer shall pay the Seller an amount in cash equal to the Contingent Cash Payment.
