Contingent Dividend definition

Contingent Dividend shall have the meaning ascribed to such term in the Registration Statement.
Contingent Dividend means the contingent dividend declared by the Board of Directors of the Company on September __, 2016 pursuant to the Contingent Dividend Resolution.
Contingent Dividend means an amount equal to 40% of the Excess Net Income measured as of the end of the applicable fiscal quarter of the Corporation, minus (i) the aggregate amount of Contingent Dividends earned previously during the applicable Measurement Period, and (ii) the aggregate amount of Regular Quarterly Dividends earned during the applicable Measurement Period.
