Each Sales-Based Contingent Purchase Price Payment shall be payable in accordance with the provisions of this Section 3.3 no later than thirty (30) days after the end of each Sales-Based Payment Period by wire transfer of immediately available funds directly to a bank account designated by Reliant.
All payments of the Contingent Purchase Price Payment shall be due and payable at the time set forth in Section 2.4(a)(iii).
