If the other Party provides notice to such notifying Party within [***] that it does not desire to continue to progress the Program, or does not provide any notice to such notifying Party within such [***] period, then (A) such other Party will be deemed to have Opted-Out and will be deemed an Opt-Out Party, (B) the Party providing the Continuation Notice will be deemed a Continuing Party, and (C) the effects of Opt-Out set forth in Section 11.2 (Effects of Opt-Out) shall apply.
