Whenever Borrower is in possession or control of Contract Delivery Documents for Contracts not paid in full, Borrower shall hold them in trust for Lender.
With respect to any Pledged Contract delivered pursuant to clause (ii) above, the Borrower shall deliver the Contract Delivery Documents and a Contract Delivery Schedule to the Custodian via reputable overnight courier promptly after such Pledged Contract is originated, but in no event later than 11:00 a.m. (eastern time) on the date that is at least one (1) Business Day prior to the Borrowing Base Inclusion Date for such Pledged Contract.
