Contractor Status. The Contractor, under the code of the Internal Revenue Service (IRS), is an independent contractor, and neither the Contractor's employees nor contract personnel are, or shall be deemed, the Client's employees.

Contractor Status. Nothing in the Contract shall create or be construed as creating a partnership, joint venture, a contract of employment or relationship of employer and employee, or a relationship of principal and agent between the Authority and the Contractor.

Contractor Status. Contractor is an independent contractor, and not an officer, employee, or agent of the District, in the performance of this Contract.
Contractor Status. SELLER will perform under this AGREEMENT as independent contractor to BUYER. SELLER acknowledges BUYER has no employment relationship with, or right or duty to select or direct any of, SELLER’s employees, subcontractors or other representatives (collectively, “SELLER’S REPRESENTATIVES”).

The District is interested only in the results obtained under this Contract. The manner, method and means of conducting the work are under the sole control of the Contractor. Contractor will be solely and entirely responsible for its acts and for the acts of its agents, employees and subcontractors during the performance of this Contract. The work performed under this Contract will be performed entirely at the Contractor’s risk. The Contractor agrees to indemnify and hold harmless the District for any and all liability or loss arising in any way out of the performance of this Contract. Contractor shall employ and direct all persons performing any Work hereunder and such person shall be and remain the sole employees of and subject to the control and direction of Contractor. No agent or employee of Contractor shall be or shall be deemed to be an employee or agent of the District. None of the benefits provided by the District to its employees, including, but not limited to, worker’s compensation insurance and unemployment insurance, is available from the District to the Contractor, or the employees, or agents of Contractor. Whenever this Contract uses the words “as ordered,” “as directed,” “as required,” “as permitted,” “as allowed,” or words and phrases of like meaning, it shall be understood that the use is intended only to the extent of judging compliance with the terms of this Contract and none of these words and phrases shall imply that the District has any authority or responsibility for supervision of Contractor’s forces or operations, such supervision and the sole responsibility being strictly reserved for Contractor.
Contractor Status. It is understood and agreed that Vendor shall perform under this Agreement as an independent contractor and not as an agent, representative or employee of Voith.
