Contractor's Obligations definition

Contractor's Obligations means the obligations of the Contractor under this Agreement or imposed by law in relation to the provision of the Services.

More Definitions of Contractor's Obligations

Contractor's Obligations means those covenants, liabilities and obligations required to be performed by the Contractor under the Petroleum Contract;
Contractor's Obligations. Means the obligation to execute the Project in all its entirety and shall, without limitation, include Operation and Maintenance.
Contractor's Obligations means each and every obligation and liability of Contractor specified within this Agreement, including, but not limited to, its obligation to perform all services rendered in accordance with Standard Industry Practice. County means the County of Napa, State of California.
Contractor's Obligations means the obligation to perform in its entirety and shall, without limitation, include the Operation and Maintenance of 45 MLD STP.
Contractor's Obligations. The Contractor’s obligations under this Agreement shall include the following: a. Contractor shall provide Xxxxxx with the Specifications for the Product attached hereto as Exhibit A and updated from time to time in writing. b. Throughout the term of this Agreement, Contractor agrees to purchase a minimum of 120 barrels per month (“Minimum Purchase Commitment”). For any month that Contractor fails to satisfy the Minimum Purchase Commitment, Contractor shall nevertheless be liable for its proportionate share of all costs, expenses and fees as if Contractor had purchased the Minimum Purchase Commitment. c. Contractor shall purchase all Product from Xxxxxx which meets the Specifications and is packaged in accordance with Section 2(c), according to the terms and conditions set forth in Section 4. Contractor shall pay Xxxxxx for all Product in accordance with the Price Schedule, Exhibit B hereto. Payment shall be made on a net 30 day basis, and all delinquent payments shall accrue interest at the rate of 1.5% per month until paid. d. Contractor shall pay for all design, printing and all other costs associated with the development and production of all Bottling & Packaging Materials. Upon termination of this Agreement, all unused Bottling & Packaging Materials shall be billed to Contractor and shipped to any place designated by Contractor. e. Contractor shall be responsible for distribution, sales and marketing of the Product. Contractor shall also be responsible for all costs of freight and shipping of Product from Xxxxxx’x production facility in Chico, CA. f. Contractor shall maintain all necessary Federal Basic Permits and state permits necessary to sell alcoholic products. g. Contractor shall pay all fees necessary to satisfy all requirements to maintain organic certification through its independent third party certifier, California Crop Improvement Association. If Contractor chooses to use Xxxxxx’x independent third party organic certifier, Contractor shall pay its pro-rata share of fees. These fees are not included in Exhibit 2. h. Contractor shall arrange shipping for all Product to its distributors. Shipping shall be performed in a manner customary to the brewing industry. To the extent any risk of loss or other liability in connection with shipping is not borne by the distributor or carrier, all such risk of loss or other liability shall be borne exclusively by Contractor.
Contractor's Obligations means all Contractor’s obligations under this Contract and all steps Contractor must take to discharge those obligations.

  • Obligations means any principal, interest, penalties, fees, indemnifications, reimbursements, damages and other liabilities payable under the documentation governing any Indebtedness.

  • Bank Products Obligations of any Person means the obligations of such Person pursuant to any Bank Products Agreement.

  • Borrower's Obligations means, without duplication, all of the obligations of Borrower to Lender whenever arising, under this Loan Agreement, the Notes or any of the other Loan Documents, including without limitation, all principal, interest, monies advanced on behalf of Borrower under the terms of the Loan Documents, and taxes, insurance premiums, costs and expenses, and fees and any amounts that would have accrued but for the automatic stay under the Bankruptcy Code, and any obligations under any Swap Contract between Borrower and any Swap Issuer, whenever arising.

  • Safety Obligations means all applicable obligations concerning health and safety (including any duty of care arising at common law, and any obligation arising under statute, statutory instrument or mandatory code of practice) in Great Britain;

  • Third Party Contractor as used in the Student Data Protection Act and “Operator” as used in COPPA. De-Identified Information (DII): De-Identification refers to the process by which the Contractor removes or obscures any Personally Identifiable Information (“PII”) from Education Records in a way that removes or minimizes the risk of disclosure of the identity of the individual and information about them.

  • GENERAL AND SPECIAL CONDITIONS OF CONTRACT means the instructions to Tenderer and General and special conditions of contract pertaining to the work for which above tenders have been called for.

  • General Contractor means a person or entity duly licensed in the state of Florida with the requisite skills, experience and credit worthiness to successfully provide the units required in the Application, and which meets the criteria described in Rule 67-48.0072, F.A.C.

  • Indemnification Obligations means each of the Debtors’ indemnification obligations in place as of the Effective Date, whether in the bylaws, certificates of incorporation or formation, limited liability company agreements, other organizational or formation documents, board resolutions, management or indemnification agreements, or employment or other contracts, for their current and former directors, officers, managers, members, employees, attorneys, accountants, investment bankers, and other professionals and agents of the Debtors.

  • Responsibilities means the responsibilities delegated to BNY under the Rule as a Foreign Custody Manager with respect to each Specified Country and each Eligible Foreign Custodian selected by BNY, as such responsibilities are more fully described in Article III of this Agreement.

  • Supervising Contractor means the principal contractor retained by Settling Defendants to supervise and direct the implementation of the Work under this Consent Decree.

  • Subcontractor means any supplier, distributor, vendor, or firm that furnishes supplies or services to or for a prime contractor or another subcontractor.

  • Compliance Obligations means obligations of the AMC to comply with: (a) laws or international guidance and internal policies or procedures, (b) any demand or request from authorities or reporting, disclosure or other obligations under laws, and (c) laws requiring us to verify the identity of our customers.

  • Subcontracts means subcontract(s) in any tier.

  • Conditions of Use means these terms and conditions as may be varied by us from time to time.
