Each Receivable contributed by Contributing Originator to the capital of the Buyer pursuant to this Section 3.1(a) and Section 3.2 below is herein referred to as a “Contributed Receivable”.

The Contributing Originator may, from time to time at its option, by notice to the Company on or prior to the date of the proposed contribution, identify Receivables that it proposes to contribute to the Company as a capital contribution, and if the Company is Solvent on the date of the contribution, the Contributing Originator hereby on the date of contribution transfers, conveys and absolutely assigns to the Company all Receivables identified in such notice.
