CONTRIBUTOR'S DELIVERIES on EXHIBIT F. As used herein, “Records” means all books, records, tax returns, correspondence, financial data, leases, and all other documents and matters, public or private, maintained by Contributor or its agents, relating to receipts and expenditures pertaining to the Project for the three most recent full calendar years and the current calendar year and all contracts, rental agreements and all other documents and matters, public or private, maintained by Contributor or its agents, relating to operations of the Project. In addition, Contributor shall provide (and shall cooperate in all respects in so providing) Acquiror or Subsidiary, as applicable, with copies of, or access to, such factual information as may be reasonably requested by Acquiror or Subsidiary, as applicable, and in the possession or control of Contributor, to enable Talon Holding to issue one or more press releases concerning the transaction that is the subject of this Agreement, to file a Current Report on Form 8-K (as specified on EXHIBIT G), if, as and when such filing may be required by the Securities and Exchange Commission (“SEC”) and to make any other filings that may be required by any Governmental Authority (as defined below). The obligation of Contributor to cooperate in providing Acquiror or Subsidiary, as applicable, with such information for Talon Holding to file its Current Report on Form 8-K shall survive the Closing and shall not be merged into any of the conveyancing documents delivered at Closing. “Governmental Authority” or “Governmental Authorities” shall mean any agency, commission, department or body of any municipal, township, county, local, state or Federal governmental or quasi-governmental regulatory unit, entity or authority having jurisdiction or authority over all or any portion of the Project or the management, operation, use or improvement thereof.

Examples of CONTRIBUTOR'S DELIVERIES in a sentence

  • Within seven (7) days after the execution of this Agreement by Contributors and UPREIT ("DOCUMENT DELIVERY DATE"), Contributors shall deliver or cause to be delivered to UPREIT the items listed on Exhibit M attached hereto ("CONTRIBUTORS' DELIVERIES").

  • To the extent in Contributor's possession or control, Contributor shall continue to make available to Acquiror, from and after the Contract Date, at reasonable times and upon reasonable notice, copies of all documents, contracts, information, Records (as defined below) and exhibits relevant to the transaction that is the subject of this Agreement, including, but not limited to, the documents listed as "CONTRIBUTOR'S DELIVERIES" on Exhibit D attached hereto.

  • Purchaser Deliverables has the meaning set forth in Section 2.2(b).

  • Seller’s Warranties means Seller’s representations and warranties set forth in Section 9.2 and the Closing Documents executed by Seller, as such representations and warranties may be deemed modified or waived by Buyer pursuant to the terms of this Agreement.

  • Buyer Fundamental Representations means the representations and warranties of Buyer contained in Sections 6.1, 6.2 and 6.7.

  • Sellers has the meaning set forth in the preamble.

  • Seller Fundamental Representations means the representations and warranties of Seller contained in Section 3.01 (Existence and Power), Section 3.02 (Authorization), Section 3.05 (Group Companies) (other than Section 3.05(e)) and Section 3.21 (Finders’ Fees).

  • Project Buyer means the City’s employee assigned to serve as the contact person for Bidders/Sellers responding to Invitations For Bid or completing contracts herein.

  • Real Property Deliverables means each of the following agreements, instruments and other documents in respect of each Facility, each in form and substance reasonably satisfactory to the Collateral Agent:

  • Purchaser’s Warranties means the warranties of the Purchaser set out in Clause 6.2 and Schedule 2;

  • Transaction-Specific Hedge means any Transaction that is an interest rate cap, interest rate floor or interest rate swaption, or an interest rate swap if (x) the notional amount of the interest rate swap is “balance guaranteed” or (y) the notional amount of the interest rate swap for any Calculation Period otherwise is not a specific dollar amount that is fixed at the inception of the Transaction.

  • Company Deliverables has the meaning set forth in Section 2.2(a).

  • Seller’s Closing Documents as defined in Section 3.2(a).

  • Contributors has the meaning set forth in the Preamble.

  • Seller Closing Certificate has the meaning set forth in Section 7.02(d).

  • Seller Entities means the Seller and its affiliates other than the Buyer Entities;

  • Purchaser Fundamental Representations means the representations and warranties of Purchaser set forth in Section 4.01, Section 4.02, Section 4.03 and Section 4.07.

  • Buyer Parties has the meaning set forth in the Preamble.

  • Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.

  • Seller Ancillary Documents means any certificate, agreement, document or other instrument, other than this Agreement, to be executed and delivered by the Seller or any Affiliate of the Seller in connection with the transactions contemplated hereby, including, but not limited to the Transaction Documents.

  • Closing Documents means the papers, instruments and documents required to be executed and delivered at the Closing pursuant to this Agreement;

  • Buyer Closing Certificate has the meaning set forth in Section 7.03(d).

  • Company Fundamental Representations means the representations and warranties set forth in Section 3.1 (Organization; Authority; Enforceability), Section 3.2(a) (Non-contravention), Section 3.3 (Capitalization), Section 3.13 (Brokerage) and Section 3.20 (Affiliate Transactions).

  • Seller’s Representatives means Seller’s accountants, employees, counsel, environmental consultants, financial advisors, and other representatives.

  • Other Sellers shall have the meaning set forth in Section 10.4.

  • Secondary Seller means the Seller whose Bid City selected as a back-up supplier in the event the Primary Seller is unable to provide all the Goods and/or Services required.

  • Buyer has the meaning set forth in the preamble.

  • Buyer Losses shall have the meaning set forth in Section 11.1 hereof;
