In the case of any redemption of Bonds prior to the expiration of any restriction on such redemption provided in the terms of such Bonds or elsewhere in this Indenture, the Company shall furnish the Trustee with a Corporate Officer’s Certificate evidencing compliance with any such restriction.
The Trustee may conclusively rely upon the Opinion of Counsel and Corporate Officer’s Certificate in authenticating the Bonds and accepting the responsibility under this Indenture.
If the Company shall solicit from the Bondholders any request, demand, authorization, direction, notice, consent, waiver or other action, the Company may, at its option, as evidenced by a Corporate Officer’s Certificate, fix in advance a record date for the determination of Bondholders entitled to give such request, demand, authorization, direction, notice, consent, waiver or other action, but the Company shall have no obligation to do so.
Additionally, prior to the issuance of any Bonds after the initial issuance, the Company shall deliver to the Trustee a Corporate Officer’s Certificate stating that all conditions precedent provided for in this Indenture relating to the issuance of the Bonds have been complied with and that, to the best of the knowledge of the signer(s) of such Corporate Officer’s Certificate, no Event of Default with respect to any of the Bonds shall have occurred and be continuing.
The Trustee, subject to the provisions of Section 7.01, may receive a Corporate Officer’s Certificate or an Opinion of Counsel as conclusive evidence that any supplemental indenture executed pursuant to this Article is authorized or permitted by, and conforms to, the terms of this Article and that it is proper for the Trustee under the provisions of this Article to join in the execution thereof.
