Programme Party means a party to a Programme Document (other than the Issuer and ETP Securityholders).
Third Party Licensor means the relevant licensor of any Third Party Data or any Third Party Trade Xxxx;
Innocent Party means, in relation to a breach of an obligation under this contract, the party who is not in breach of that obligation; "Insolvency Event", in relation to either of the parties, has occurred where:
Valid Third Party Entity In respect of any transaction, any third party that the Calculation Agent determines has a bona fide intent to enter into or consummate such transaction (it being understood and agreed that in determining whether such third party has such a bona fide intent, the Calculation Agent shall take into consideration the effect of the relevant announcement by such third party on the Shares and/or options relating to the Shares and, if such effect is material, may deem such third party to have a bona fide intent). Nationalization, Insolvency or Delisting: Cancellation and Payment (Calculation Agent Determination); provided that, in addition to the provisions of Section 12.6(a)(iii) of the Equity Definitions, it will also constitute a Delisting if the Exchange is located in the United States and the Shares are not immediately re-listed, re-traded or re-quoted on any of the New York Stock Exchange, The NASDAQ Global Select Market or The NASDAQ Global Market (or their respective successors); if the Shares are immediately re-listed, re-traded or re-quoted on any of the New York Stock Exchange, The NASDAQ Global Select Market or The NASDAQ Global Market (or their respective successors), such exchange or quotation system shall thereafter be deemed to be the Exchange. Additional Disruption Events: Change in Law: Applicable; provided that Section 12.9(a)(ii) of the Equity Definitions is hereby amended by (i) replacing the phrase “the interpretation” in the third line thereof with the phrase “, or public announcement of, the formal or informal interpretation,” (ii) replacing the word “Shares” with the phrase “Hedge Positions” in clause (X) thereof and (iii) inserting the parenthetical “(including, for the avoidance of doubt and without limitation, (x) any tax law or (y) adoption, effectiveness or promulgation of new regulations authorized or mandated by existing statute)” at the end of clause (A) thereof. BRRD Party means any Underwriter subject to Bail-in Powers.
Mediation party means a person that participates in a mediation and whose agreement is necessary to resolve the dispute.
Respondent Party has the meaning set forth in Section 7.6(b).
Opposing Party means the third party that owes Borrower the Miscellaneous Proceeds or the party against whom Xxxxxxxx has a right of action in regard to the Miscellaneous Proceeds.
Initiating Party means a party who gives notice under section 2 of this Schedule;
Designated Party means any person listed:
complaining Party means any Party that requests the establishment of an arbitration panel under Article 3.5 (Initiation of the Arbitration Procedure);
Licensed person means an individual who is licensed or otherwise legally authorized to practice a professional service by a court, department, board, commission, or an agency of this state or another jurisdiction, any corporation or professional services corporation all of whose shareholders are licensed persons, any partnership all of whose partners are licensed persons, or any limited liability company all of whose members and managers are licensed persons.
Unlicensed person means any person who is not a licensed dealer under this chapter.
Performing Party As defined in Section 11.12.
FOIA Party means a Person that, in the reasonable determination of the Board of Directors, may be subject to, and thereby required to disclose non-public information furnished by or relating to the Company under, the Freedom of Information Act, 5 U.S.C. 552 (“FOIA”), any state public records access law, any state or other jurisdiction’s laws similar in intent or effect to FOIA, or any other similar statutory or regulatory requirement.
Contracting Party shall have the meaning designated in the preamble to Section 5.2 hereof.
Party or “Parties” has the meaning set forth in the Preamble.
Associated Party means, if used to indicate a relationship with a person or company
Notifying Party As defined in Section 3.01(i).
Third Party Owner means any person who is the legal or beneficial owner (including a Lessor) of any Assets used or occupied by, or in the possession of the Deed Company as at the Appointment Date.
Key Project Personnel means the persons named in Schedule I (Key Project Personnel) and any replacement(s) approved by the City in accordance with ARTICLE 7;
Managing Party shall have the meaning set forth in Section 7.2(a).
Lender Recipient Party means collectively, the Lenders, the Swing Line Lender and the L/C Issuer.
Publishing Party has the meaning set forth in Section 12.3.
Sublicensee means a third party to whom LICENSEE grants a sublicense of certain rights granted to LICENSEE under this Agreement.
Obligated Party has the meaning assigned to such term in Section 10.02.
