Countrywide Assignment Agreement definition

Countrywide Assignment Agreement. The Assignment, Assumption and Recognition Agreement, dated as of March 1, 2007, among Countrywide, Countrywide Home Loans, Inc., the Depositor and the Sponsor pursuant to which the Countrywide Servicing Agreement and the rights of the Sponsor thereunder (other than the rights to enforce the representations and warranties with respect to the Countrywide Loans) were assigned to the Depositor for the benefit of the Certificateholders.
