Covered Assets definition

Covered Assets has the meaning set forth in Section 8.1(b).

Covered Assets means the PT Covered Assets and/or TEF Covered Assets (as the case may be).

Covered Assets means all Marketed Rigs and other drilling related fixed assets.

Examples of Covered Assets in a sentence

• A TFE Request may not be submitted for Covered Assets located within the geographic boundaries of different Regional Entities.

• In addition, a Responsible Entity may use one submission to request a TFE from the same Applicable Requirement for multiple, similar Covered Assets (either at the same location or at different locations within the geographic boundaries of a Regional Entity) on the same basis, with the same compensating measures and/or mitigating measures, and with the same proposed Expiration Date, the TFE Requests for all the Covered Assets may be included in one submission.

• Except as stated otherwise in the PT Group Financial Statements or in Section 5.8 of the PT Group Disclosure Schedule, such PT Group Financial Statements (a) fairly present, in all material respects, the financial position of the PT Covered Assets as of the respective dates thereof, all in accordance with Brazilian GAAP consistently applied throughout the period indicated; and (b) are correct and complete in all material respects and are consistent with the books and records of the PT Covered Assets.

• Except as stated otherwise in the TEF Group Financial Statements or in Section 4.8 of the TEF Group Disclosure Schedule, such TEF Group Financial Statements (a) fairly present, in all material respects, the financial position of the TEF Covered Assets as of the respective dates thereof, all in accordance with Brazilian GAAP consistently applied throughout the period indicated; and (b) are correct and complete in all material respects and are consistent with the books and records of the TEF Covered Assets.

• Each of the PT Covered Assets, is in compliance with all applicable laws, ordinances, rules and regulations of any Governmental Authority applicable to the PT Group, the PT Covered Assets, respectively, and their respective operations, except for violations, if any, which could not reasonably be expected to have a Material Adverse Effect.

More Definitions of Covered Assets

Covered Assets means, on any date of determination, substantially all of both (a) the Company’s and its Restricted Subsidiaries’ commercial operations and (b) the Company’s and its Restricted Subsidiaries production operations, located in one of the five countries or regional groupings for which the Company recognized the highest gross revenues during its most recently completed four fiscal quarters for which financial statements are filed with the SEC or otherwise available (or 100% of the equity interests of a Restricted Subsidiary that own such operations).

Covered Assets means Pharmasset’s assets associated with Pharmasset’s uracil nucleotide analog polymerase inhibitor referred to as PSI-7977.

Covered Assets means, as of any date of determination, (a) the Loan Assets, the Credit Tenant Lease Assets, Operating Property Assets and the Land Assets directly or indirectly owned by the Borrower or a Covered Subsidiary, listed in the Collateral and Covered Asset List and (b) interests in a Covered Subsidiary owned by any other Covered Subsidiary.

Covered Assets. Covered Assets" shall mean any asset that would constitute either a Designated Asset or Licensed IP pursuant to the terms of the Agreement if such asset were owned or held by any of the Parent Entities as of the Closing Date.

Covered Assets has the meaning set forth in Section 10.1(b).

Covered Assets shall include (i) any Replacement Covered Assets permitted hereunder, (ii) Covered Assets as they may be amended or otherwise modified pursuant to any Permitted Amendment and (iii) any extensions of credit made pursuant to a Citigroup Ring-Fence Entity Wholly Unfunded Commitment that otherwise satisfy the Covered Asset Criteria, but solely to the extent any such extension of credit is made prior to the FRBNY Funding Date. Schedule A shall also identify, for each Covered Asset, any collateral, guarantor or other credit support following the completion of the post-signing adjustments to such schedule contemplated by Section 5.

Covered Assets means the Company’s assets associated with the Key Product.
