CPI Common Stock definition

CPI Common Stock means the common stock, par value $0.001 per share, of CPI;
CPI Common Stock means shares in the common stock of the Purchaser.

  • If the CPI Common Stock is trading on the Nasdaq National Market or the Nasdaq SmallCap Market at the time of Closing, the shares of CPI Common Stock to be issued to the Vendor pursuant to the terms of this Agreement shall have been approved for listing on the stock market on which the CPI Common Stock is so trading.

  • The Purchaser shall use its best efforts to obtain from applicable securities regulatory authorities such orders and rulings as may be required so that the shares of the CPI Common Stock to be issued to the Vendor pursuant to this Agreement will be freely tradeable in the United States, subject only to the restrictions imposed by Rule 145 under the U.S. Securities Act and the anti-fraud provisions under applicable laws.

  • The Purchaser shall use its best efforts, subject to the constraints imposed by Sections 5.10 and 7.1 of this Agreement, to maintain the listing of the CPI Common Stock on the Nasdaq National Market.

  • All shares of CPI Common Stock repurchased pursuant to the Share Purchase Program, including repurchases hereunder, shall be cancelled by CPI immediately after such repurchase.

  • The Parallel49 Repurchased Shares shall not exceed 325,000 shares of CPI Common Stock.

  • All such issued and outstanding shares of CPI Common Stock have been duly and validly issued and are, fully paid and non-assessable.

  • The minute books and stock records of CPI will have been provided, or copies made available to, TaxMasters (at TaxMasters’s cost and expense) in their entirety and contain correct and complete records of all material proceedings and actions taken at all meetings of, or effected by written consent of, the stockholders of CPI and its Board of Directors, and all original issuances, subsequent transfers, repurchases, and cancellations of CPI Common Stock and all other forms of CPI equity or debt securities.

  • From and after the Effective Time, all certificates representing shares of Company Common Stock shall represent the right to receive shares of CPI Common Stock on the basis set forth above, upon the terms and conditions of this Agreement, subject to applicable abandoned property, escheat and similar laws.

  • From and after the Closing Date, the CPI Shareholders shall no longer own any shares of CPI Common Stock, and the stock certificates formerly representing shares of CPI Common Stock shall represent the pro rata portion of the Exchange Shares issuable in exchange therefor pursuant to this Agreement.

  • Except as set forth in the CPI Disclosure Schedule, CPI is not under any obligation, and is not bound by any Contract pursuant to which it may become obligated, to repurchase, redeem or otherwise acquire any outstanding shares of CPI Common Stock, CPI Redeemable Preferred Stock or CPI Preferred Stock.
