The Company shall be under no obligation to register the Creditor Shares under the Securities Act and applicable state securities laws, and any such registration shall be in the Company’s sole discretion.
Such Creditor’s debt cancellation and payment for, and continued beneficial ownership of, the Creditor Shares will not violate any securities or other laws of such Creditor’s jurisdiction applicable to such Creditor.
Such Creditor, either alone or together with its representatives, has such knowledge, sophistication and experience in business and financial matters so as to be capable of evaluating the merits and risks of the prospective investment in the Creditor Shares, and has so evaluated the merits and risks of such investment.
Such Creditor is a non-U.S. person (as such term is defined in Rule 902 of Regulation S under the Securities Act) and is not acquiring the Creditor Shares for the account or benefit of a U.S. person.
The Company shall deliver to the Creditor the Creditor Shares at Closing.
