CROWN COMMON STOCK means the shares of common stock, par value $5.00 per share, of Crown.

CROWN COMMON STOCK means the shares of common stock, par value $5.00 per share, of Crown. “CROWN EQUITY PLAN means: the Crown Cork & Seal Company, Inc. 2001 Stock-Based Incentive Compensation Plan; the Crown Cork & Seal Company, Inc. 1997 Stock-Based Incentive Compensation Plan; the Crown Cork & Seal Company, Inc. 1994 Stock-Based Incentive Compensation Plan; and the Crown Cork & Seal Company, Inc. 1990 Stock-Based Incentive Compensation Plan. “CROWN GROUP” means Crown and its Subsidiaries, excluding any member of the Constar Group, as of the Closing Date. “EMPLOYEE” means any individual who performs services pursuant to a common-law employer-employee relationship. “ERISA” means the Employee Retirement Income Security Act of 1974, as amended. “FOREIGN PLAN,” when immediately preceded by “Crown,” means a Plan maintained by the Crown Group or when immediately preceded by “Constar,” a Plan maintained by the Constar Group, in either case for the benefit of employees who perform services and/or are compensated under a payroll that is administered outside the United States, its territories and possessions, and the District of Columbia. “FORMER CONSTAR EMPLOYEE” means an Employee whose employment with the Constar Group terminated for any reason (including retirement or long-term disability) before the Closing Date and who, as of the Closing Date, is not employed by Crown or a member of the Crown Group. “GOVERNMENTAL AUTHORITY” means any federal, state or local court, government, department, commission, board, bureau, agency, official or other regulatory, administrative or governmental authority, including, without limitation, the United States Department of Labor, the Internal Revenue Service, and the Pension Benefit Guaranty Corporation.
