CSC has delivered to Parent true, correct and complete copies of all leases of personal property used in the CSC Business, each of which is listed on Schedule 4.07, together with all amendments, modifications or supplements thereto.
To the Knowledge of CSC, none of the Persons in the CSC Group is or since January 1, 2009, has been, under investigation with respect to the violation of any Law and to the Knowledge of CSC, there are no facts or circumstances which could reasonably form the basis for any such violation other than violations which would have an immaterial effect upon the CSC Business.

CSC has good title to, or leasehold interest in, all properties and assets (real, personal or mixed, tangible or intangible) which are used or held for use in the conduct of the CSC Business, free and clear of any Liens, except (a) as reflected in the Current Balance Sheet, (b) Liens for Taxes not yet due and payable, and (c) such imperfections of title and encumbrances, if any, which do not detract from the value or interfere with the present use of the property subject thereto or affected thereby.
Following the Closing Date, Buyer and Buyer Parent shall grant to Seller and its representatives, at Seller's reasonable request, reasonable access to and the right to make copies of those records and documents covering any period prior to the Closing Date related to the CSC Business or the Assets as may be reasonably necessary for litigation, preparation of financial statements, tax returns and audits or other valid business purposes.
No claims have been asserted or, to CSC’s Knowledge, threatened against any Person in the CSC Group alleging a violation of any Person’s privacy or personal information or data rights and the consummation of the transactions contemplated hereby will not breach or otherwise cause any violation of any Law or rule, policy, or procedure related to privacy, data protection, or the collection and use of personal information collected, used, or held for use by the CSC Group in the conduct of the CSC Business.
All material items of personal property used in the CSC Business are in good operating condition, regularly and properly maintained and fit for operation in the Ordinary Course of CSC’s Business (subject to normal wear and tear) with no defects that could reasonably be expected to interfere with the conduct of the normal operation of such items and are suitable for the purposes for which they are currently being used.
Each Person in the CSC Group is a corporation duly organized, validly existing and in good standing under the laws of its respective state of formation, with full power and authority to own or lease its property and assets and to carry on the CSC Business as presently conducted, and is duly qualified to do business as a foreign corporation and is in good standing in each jurisdiction where the failure to be so qualified would have a Material Adverse Effect.
