Current Company Business definition

Current Company Business has the meaning set forth in Section 3.1.
Current Company Business means the business of the Company and its Subsidiaries as conducted as of the date of this Agreement.

  • There have been no claims made against the Company by a third party asserting the invalidity, misuse or unenforceability of any of such Intellectual Property licensed to the Company that were actually used by Company prior to the Effective Time in the conduct of, or that are necessary for Company’s continuing conduct of, the Current Company Business.

  • The Company is duly qualified to do business, and is in good standing (if such concept is applicable in the relevant jurisdiction), in each jurisdiction where the operation of the Current Company Business by the Company requires such qualification, except where the failure to be so qualified or in good standing would not reasonably be expected to have a Company Material Adverse Effect.

  • The conduct of the Current Company Business does not infringe, constitute contributory infringement, inducement to infringe, misappropriation or unlawful use of IP Rights of any other person, and neither the Company nor its Subsidiaries has received any written notice or other written communication asserting any of the foregoing that remains unresolved.

  • The Company and its Subsidiaries have obtained each material federal, state, county, local or foreign governmental consent, license, permit, grant or other authorization of a Governmental Entity that is required, as of the date hereof, for the operation by the Company and its Subsidiaries of the Current Company Business, and all of such consents, licenses, permits, grants and authorizations are in full force and effect.

Current Company Business means as of the date hereof, the business of the Company as it is being conducted on the date hereof or as it is planned to be conducted, as of the date hereof or as it is reasonably expected to be conducted as of the Closing Date, in each case, solely with respect to the development, manufacture and commercialization of the Lead Product or any Product containing the Lead Product.

Related to Current Company Business

  • Company Business means the business of the Company as presently conducted.

  • Qualified business means a for-profit business that obtains services relating to that business from 30 or fewer employees or employees of independent contractors performing services substantially similar to employees during a random week in the year ending on the tax day. If a person is a unified business group as that term is defined in section 117 of the Michigan business tax act, 2007 PA 36, MCL 208.1117, the number of employees from whom services are obtained includes all employees of the unitary business group and employees of independent contractors of the unitary business group rendering services to the qualified business.
