The Current Filings, as of the date of the filing thereof, the date of this Settlement Agreement, and the Closing Date, did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.
The financial statements of Purchaser included in the Current Filings complied as to form in all material respects with applicable accounting requirements and the published rules and regulations of the SEC or other applicable rules and regulations with respect thereto at the time of filing.

Such Shareholder has received and reviewed the Company's Form 10-Q for the quarter ended March 31, 2010, Form 10-K for the fiscal year ended December 31, 2009, Proxy Statement for November 19, 2009 Annual Meeting of Shareholders, and such other documents of the Company as are publicly available relating to the Company's business, finances and operations ("Current Filings").
