Current Managers definition

Current Managers means collectively, Wellington Hall as the current manager of the independent portion of the Facility and Wellington Court as the current manager of the personal care and skilled care portion of the Facility, each of which operates the respective aspects of the Business on Seller’s behalf.

Examples of Current Managers in a sentence

  • To the Knowledge of the Receiver, the financial statements furnished to Purchasers by the Current Managers are true, correct and complete in all material respects.

  • Purchasers are not assuming under this Agreement any tax liabilities owed by Sellers and/or Current Managers as a result of the ownership or operation of any of the Facilities prior to the Closing Date.

  • All utility services, including heat, air conditioning, hot and cold water, telephones, gas and electrical service are available at the Facilities in quantities sufficient for the present use of the Property by Sellers and their Current Managers.

  • Sellers shall use commercially reasonable efforts to, and Sellers and E shall use commercially reasonable efforts to cause the Current Managers to, transfer and assign, to the extent transferable or assignable, at Purchaser’s sole cost and expense, to Purchaser or its designee at Closing any Permit designated by Purchaser to be so transferred or assigned.

  • Sellers, and to Seller’s Knowledge, the Current Managers, are in compliance in all material respects with the terms of the Permits covered by the preceding sentence and all such Permits are valid and in full force and effect in all material respects except to the extent any non-compliance or failure of Permits to be in full force and effect would not reasonably be expected to have a Material Adverse Effect.

  • In furtherance of the immediately preceding sentence, IWRA shall use its best efforts to cause AIM, Inc., an Iowa corporation ("CURRENT MANAGER"), its current property manager, and all of IWRA's and/or Current Manager's employees to operate the Property in the ordinary course of business, consistent with all Laws and past practice.

  • Since September 30, 2012, Sellers, and to Seller’s Knowledge, the Current Managers, have operated the Real Property in the ordinary course, consistent with past practice, and no Seller and, to Seller’s Knowledge, no Property, has: suffered any adverse change, event, occurrence, development or state of circumstances or facts which has had or could reasonably be expected to result in or have a Material Adverse Effect.

  • To IWRA's and Current Manager's knowledge, IWRA is in full compliance with all applicable Environmental Laws relating to the Property, which compliance includes, but is not limited to, the possession and compliance therewith by IWRA of all permits and other governmental authorizations required under applicable Environmental Laws.

  • Neither Seller, nor to Seller’s Knowledge, any Current Managers, has made any binding promise or commitment to increase the compensation of any Employee after the Effective Date, except as otherwise set forth on Schedule 6.10 hereto.

  • Lessee hereby acknowledges and agrees, however, that there can be no assurances that the Current Lessees or Current Managers will cooperate and/or continue to cooperate, and no such non-cooperation or cessation of cooperation by the Current Lessees or Current Managers shall relieve Lessee from its obligation to use commercially reasonable efforts to satisfy the conditions set forth in Sections 48.1.1(a), (b), (d) and (g) above.

Related to Current Managers

  • Procurement Manager means any person or designee authorized by a state agency or local public body to enter into or administer contracts and make written determinations with respect thereto.

  • Project Managers means the individuals identified in Section 12 of this Agreement who are authorized by TriMet and Subrecipient respectively to send and receive communications regarding this Agreement.

  • Asset Management Company/UTI AMC/AMC/Investment Manager means the UTI Asset Management Company Limited incorporated under the Companies Act, 1956, (1 of 1956) replaced by The Companies Act, 2013 (No. 18 of 2013) and approved as such by Securities and Exchange Board of India (SEBI) under sub-regulation (2) of Regulation 21 to act as the Investment Manager to the schemes of UTI Mutual Fund;

  • Managers means a Person who is named or designated as a manager or managing member or otherwise acts in the capacity of a manager or managing member of a limited liability company in a limited liability company agreement or similar instrument under which the limited liability company is formed or operated.

  • Managing Directors means Mrs Maria Chr. van der Sluijs-Plantz, Mrs Thérèse F.C. Wijnen and Mr Hubertus P.C. Mourits or such other person(s) who may be appointed as Managing Director(s) of the Issuer from time to time.
