  • In lieu of fractional shares of Common Stock, the Company shall pay to the registered holders of the Rights with respect to which such fractional Common Stock would otherwise be issuable an amount in cash equal to the same fraction of the Current Per Share Market Value of Common Stock (as determined as provided in Section 11(d)) for the Trading Day immediately prior to the date of such exchange.
