This Agreement shall be automatically terminated upon the first to occur of (i) the termination of Executive's employment for any reason, whether voluntary or involuntary, at any time other than during a Standstill Period or (ii) the 180th day after a change in Executive's title to a level below that of Executive's Current Title unless a Standstill Period was in effect on the date of such change or within 180 days thereafter.
