Customer Designs definition

Customer Designs means designs, drawings and instructions provided by Customer, and/or information acquired from Seller’s authorized access to facilities that house equipment which manufactures Customer’s products.
Customer Designs means any proprietary designs and proprietary design materials provided by or on behalf of the Customer to Ten Kites for incorporation or use in the creation of the Menu Pages;
Customer Designs means designs or drawings prepared and owned by customers of SMW that are utilized by SMW in connection with the performance of work for SMW customers and that sometimes impose upon SMW a duty not to utilize such designs for others and/or to keep such designs confidential.

  • Further, except (i) as set forth in Schedule 2.13 (ii) for Customer Designs, and (iii) for this Agreement, SMW is not a party to or is bound by any agreement, contract, or commitment limiting the freedom of SMW or any Affiliate of SMW to engage in any line of business, to own, operate, sell, transfer, pledge, or otherwise dispose of or encumber any Asset or to compete with any Person or to engage in any business or activity in any geographic area.

  • Customer represents and warrants that Customer has full ownership rights, license and/or authority to the Customer Designs.

  • In addition to the foregoing, the parties acknowledge and agree that Customer may disclose Customer Designs to Seller for the purpose of facilitating and/or directing Seller’s performance under this Agreement.

  • Seller shall have and Customer hereby grants to Seller, an irrevocable, transferable (including the right to sub-license), non-exclusive, royalty-free, perpetual right and license to use Customer Designs solely to perform its obligations under this Agreement.
