The Proportional Allocation Factor may change if the generation asset and contract sale results in multiple Closing Dates, or a different mix of resources available to serve the Remaining Customer Load.
If, after the date hereof, a portion of the Standard Offer Customer Load and/or the Wholesale Contract Customer Load is required to be supplied with Energy produced by renewable resources or another specific type of resource, then EPMI shall use commercially reasonable efforts to furnish BECo with an offer (including price and other relevant terms and conditions) to supply Energy under this Agreement satisfying such renewable or other applicable resource requirements.
If MPC deems necessary a change to the preschedule in order to balance Seller's resources to the Remaining Customer Load, then the preschedule will be provided to the Seller consistent with regional scheduling practices.
BROKER agrees to arrange for the transportation of shipments, tendered and offered by SHIPPER in accordance with the Rate Quotation issued by the BROKER to the Customer (hereafter the “SHIPPER”), the Customer Load and Rate Agreement associated with the Rate Quotation and these terms and conditions (which Rate Quotation, Customer Load and Rate Agreement and Terms and conditions are hereafter collectively referred to as the “Agreement”).
An initial non-binding estimate of the Seller's share of the Buyer's Remaining Load Obligation can be computed by multiplying the initial estimate of the Remaining Customer Load shown in Exhibit D by the appropriate Proportional Allocation Factor in Exhibit C.
The terms and conditions contained herein shall apply to the movement of the freight of the Customer described in the Rate Quotation issued by the BROKER to the Customer (hereafter the “SHIPPER”), and the Customer Load and Rate Agreement associated with the Rate Quotation.
The purchase and sale of energy shall commence at 00:00:01 MPT on the day immediately succeeding the Closing Date and shall end when the Buyer's Remaining Customer Load is zero or no later than 23:59:59 MPT June 30, 2002.
