Cyber Event definition

Cyber Event means (a) any occurrence in an information system or network that has, or may potentially result in, unauthorized access, processing, corruption, modification, transfer or disclosure of Confidential Information or (b) a violation of an explicit or implemented Company security policy.
Cyber Event meansany actual or suspected unauthorised system access, electronic attack or privacy breach, including denial of service attack, cyber terrorism, hacking attack, Trojan horse, phishing attack, man-in-the-middle attack, application-layer attack, compromised key attack, malware infection (including spyware or Ransomware) or computer virus.

  • Notwithstanding Franchisor’s right to perform and/or control all aspects of a response to a Cyber Event, Franchisor shall make commercially reasonable efforts to coordinate its response with Franchisee and Franchisee’s insurance carrier(s) and to cooperate with Franchisee’s insurance carrier(s) regarding insurance coverage of the Cyber Event to the extent reasonably practicable under the circumstances.
